SellaBand operates the website www.sellaband.com. This portal allows artists to publish their music and offers users the opportunity to discover these artists and their music.

When an Artist has issued 5000 Parts, meaning the total amount received is $50,000, SellaBand will utilise this budget in producing the Artist’s songs.

After recording the CD the Artist will share in the revenue generated by music sales and by advertisements on the SellaBand website.

The SellaBand program is a worldwide online program for use by Artists and Believers of any nationality. It is SellaBand’s obligation to include the following agreement which you must read and accept before continuing.

1. Definitions

   Agreement & Registration:	the moment at which the Artist has indicated his/her acceptance to the Agreements and he/she has formally registered for the SellaBand program by submitting the Registration Form.
   The Agreements:	the Conditions of use, the Privacy Policy, these Terms & Conditions, the Title Agreement and the Publishing Agreement
   Privacy Policy:	the privacy policy that is applicable to the Conditions, as referred to in Section 14.1.
   Artist:	performer, composer, lyricist, whether or not a group of performers, composers, lyricists, of whose performances of musical works Recordings are being made.
   SellaBand:	the company under German law SellaBand AG.
   Visitor:	every visitor of the SellaBand website with the internet address www.sellaband.com or thereto related webpages, including the Artist’s webpage and the Download Portal. A registered user
   Believer:	a member who wants to buy Parts of $10 in one or more Artists and has indicated his/her acceptance to the Believer Conditions.
   Part:	a declaration of faith in an artist’s success, and the transfer of the amount of 10 USD to obtain the limited edition album of the artist who has reached the goal.
   Goal:	the moment at which the investments in an Artist have amounted to $ 50,000.
   Title:	a musical work recorded or to be recorded by the Artist for the purposes of making one or more Recordings pursuant to the Agreements.
   Track:	a part of the Master containing a Recording of a particular performance by the Artist of a particular Title, whether or not made as a trial, uncompleted, or rejected by SellaBand, specified under paragraph 2.2 of the Title Agreement.
   Demo tracks:	the Tracks as recorded on the Demo.
   Master:	analogue or digital image and/or sound and/or information carrier consisting of one or more Tracks, for each Track of which the Title and the Artist are specified in the Title Agreement, on which the original Recording(s) are reproduced.
   CD:	the Recording to be recorded by the Artist under the Title Agreement.
   CD tracks:	A minimum of 3 (three) Tracks to be recorded on the CD.
   Recording:	any fixation of sound and/or image and/or information or any combination of these, made with the intention of, or suitable for, the purposes of making Reproductions thereof.
   Reproduction:	a copy of one or more Recordings as impressed on a Master, or parts thereof, for the purposes of Exploitation, in the form of gramophone records, music cassettes, compact discs and similar laser-read carriers, mini discs and other MO Discs, DCC, CD-i, CD-ROM, CD-Video, DVD, VHS, HD-DVD, Blu-Ray, UMD and any other sound and/or image and/or information carrier according to presently known like, but not limited to the Internet and/or other online distribution methods and mobile communication like UMTS, and yet unknown techniques for recording and reproduction thereof.
   Exploitation:	all communication to the public and reproduction of recordings in all manners or forms now known or hereafter invented, including the sale, delivery or otherwise bringing onto the market of Reproductions of the Recording or Recordings in whatsoever form including lease and rental to the public and distribution, electronically or otherwise, by the Internet or other online distribution or by means of mobile communication like UMTS, broadcast or rebroadcast via cable, satellite, telephone, radio and television, presently known or yet unknown, or making the Recording public in any other way whatsoever, including the import, offer and stocking of such Reproductions.
   Download Portal:	a SellaBand webpage, listing the Artists who have recorded the CD. Visitors can download CD tracks on this webpage.
   Free Downloads:	A minimum of three titles in the CD can be downloaded free of cost from the SellaBand website by visitors.
   Net Revenues:	the revenues received by SellaBand as a result of Exploitation and third party deals, reduced by all thereto related costs and taxes.
   Artist Overview:	Personal page of the Artist. This page is only accessible by the Artist with a password and login. From this page Artists can change their profile, upload pictures, songs and videos
   Artist Profile:	Page of the Artist accessible by the users of SellaBand.
   Artist Balance:	Overview of the earnings of an Artist on SellaBand

2. Subject matter of the agreement

   This agreement applies to all activities of the Artist on the SellaBand website, especially to the Profile page he/she uses to attract Believers in order to reach the Goal of $50,000. After reaching the Goal SellaBand and Artist, have to complete and sign the Title Agreement and Publishing Agreement. Before joining the SellaBand program the Artist must read and accept these Agreements.

   The parties’ rights and obligations from this agreement are linked to the general terms and conditions of use and the privacy policy .

3. Term
   1. 3.1 The Conditions shall remain in full force and effect while the Artist participates in the SellaBand program, in accordance with the Conditions and the Agreements. However, termination of the participation of the Artist will leave the licensing or transfer of rights to SellaBand unaffected. Besides, conditions which should survive termination of the participation of the Artist on the basis of their nature, shall remain in full force and effect.
   2. 3.2 Changes of these terms and conditions of use are specially indicated on the website and notified in writing, by e-mail, to registered users of SellaBand. In case the user does not object to such changes within two weeks after receipt of the notification, they are deemed to have been accepted. In case of a change of the general terms and conditions, the user is separately notified on the right of objection and the legal consequences of non-objection.
   3. 3.3 Any general terms and conditions of the Artist or any other general and/or special terms and conditions shall not apply or are hereby expressly rejected.
   4. 3.4 If the Artist consists of more than one individual (band), the applicant confirms, that she / he will fill in the registration form in the name and in full authority of and for all band members. The band members shall then furthermore include one contact person of these individuals on the Registration Form, followed by the names of the individual members of the group.
4. Personal details, Artist
   1. 4.1 The Artist must reach the age of 18 to participate in the SellaBand program. SellaBand is at its sole discretion entitled to request for further information or documents related thereto. The Artist shall provide SellaBand with this information after receiving such a request.
   2. 4.2 The Artist warrants that the participation of the Artist in the SellaBand program does not violate any applicable law or regulation and indemnifies and holds SellaBand harmless for any claims or damages resulting thereof.
   3. 4.3 The Artist shall fill in and submit the Registration Form truthfully and accurately at all times. SellaBand is at its sole discretion entitled, but not obliged, to verify the information filled in at the Registration Form.
   4. 4.4 SellaBand is not responsible or liable for any incorrect, inaccurate or unlawful information and/or actions and consequences following thereof in relation to the Artist’s age and other personal details and information provided by the Artist at the Registration Form.
5. Artist’s rights before the goal

   After Agreement and Registration and before achieving the goal the Artist will have the following rights:

   1. 5.1 The Artist will create his/her own profile page, which will be based on the format of SellaBand’s standard profile page for Artists. On this profile page the Artist will include his/her biography, including photographs, text, logos and other information and details with the purpose to promote the Artist. The Artist is not entitled to include (paid) commercial Banners or advertisements of third parties on his/her profile page. Besides, the Artist will upload the Demo for streaming on his/her webpage in accordance with SellaBand’s instructions. Creation of the profile page shall take place in accordance with the Profile page Policy as defined in Section 8.
   2. 5.2 The Artist is entitled to withdraw from the SellaBand program at any time. If the Artist wants to withdraw, the Artist will inform SellaBand immediately in writing by sending an e-mail to info@sellaband.com.
   3. 5.3 The Artist will have total career freedom and is entitled to enter into agreements with record companies, managers, agents or publishing companies, in accordance with the agreements.
6. Artist’ rights after reaching the goal
   1. 6.1 After achieving the goal, SellaBand will finance the below listed activities out of the amount of $ 50,000: I Tools needed to complete the Recording of the CD, including the guidance of an A&R manager, producer, studio, mixing and mastering, II 5000 Limited Editions of the CD, III Postage of the Limited Edition CDs to the Believers of the Artist. SellaBand shall exclusively set the total recording, production and distribution budget to finance all costs and expenses, not exceeding the amount of the Goal ($ 50,000),
   2. 6.2 The Artist will write and compose all Tracks at his/her discretion and has full artistic freedom regarding text and composition, subject to the conditions of Section 7.5. The Artist is also entitled to decide which Tracks will be recorded for the CD in accordance with the Title Agreement.
   3. 6.3 The Artist will have total career freedom and is entitled to enter into agreements with recording companies, managers, agents or publishing companies, in accordance with the Agreements.
   4. 6.4 The Believers of the Artist will receive one Limited Edition of the CD per Part they own in the Artist.
   5. 6.5 A minimum of three of the Artists Tracks will be available for free on the Download portal of SellaBand. The Tracks will continue to be included and free for downloading on the Download Portal, as long as the Artist will be listed on this portal.
   6. 6.6 The Artist is entitled to purchase regular versions of the CD from SellaBand at a discounted price per copy. This price is currently set at $5 (ex. VAT & shipping) but may change due to changes in costs and/or exchange rates. SellaBand can, at its sole discretion, decide to change this price.
   7. 6.7 The Net Revenues generated by music sales will be shared equally between Artists, all the Believers involved and SellaBand. The artist is entitled to 1/3 (one third) of all net revenues made by music sales. This includes sales of both downloads and physical products and fees received by SellaBand for licensing the master for the use of Artist’s Track(s) in for example, but not limited to, movies and commercials. This rule applies to sales through the website www.sellaband.com and third parties.
   8. 6.8 The Net Revenues generated by advertisement on the SellaBand website will be shared equally between Artists, all the Believers involved and SellaBand. The share of these revenues for the Artists will be split according to the market share of each Artist on the download portal.
   9. 6.9 Remunerations due to the Artist on the basis of this Section are credited to Artist Balance on SellaBand at the end of each calendar quarter. An overview of all revenues is available on the Artist Overview page.
   10. 6.10 At all times, under the condition that the Artist Balance has a value of more than $1, an Artist can withdraw money from his/her Artist balance and transfer it to his/her own bank account or credit card. An Artist can withdraw money by clicking on the 'Pay Out' button on his Artist Overview Page. The costs for a withdrawal are $1 for each withdrawal. The money will be transferred within four weeks after the request.
   11. 6.11 The parties agree all payments will be made in USD.
   12. 6.12 Taxes, Interest and/or IRS Penalties. It is hereby acknowledged by the Artist that the Artist shall be fully responsible for any and all taxes, interest and penalties arising from receipt by the Artist of any remuneration from SellaBand. In addition to the general indemnification granted elsewhere by the Artist to SellaBand, the Artist hereby agrees to indemnify and hold SellaBand, its officers, directors, shareholders, predecessors, successors-in-interest, employees, agents, subsidiaries and affiliates, harmless from any demands, any withholding tax on capital, loss, liability claims or expenses (including attorneys' fees), made against SellaBand by any third party due to, or arising out of or in connection with, Artist's uses of the Site.
7. Artists’ Duties after reaching the goal
   1. 7.1 After achieving the Goal, the Artist is not entitled to withdraw from the SellaBand program and the obligations, including recording obligations, under Section 7.2, unless as a result of force majeure. SellaBand is solely entitled to decide whether the Artist may withdraw from his/her obligations, or whether the recording session can and will be postponed, without liability for SellaBand.
   2. 7.2 Within a period of 6 months after achieving the Goal, the Artist shall record the CD exclusively with SellaBand. SellaBand shall at its sole discretion, but after consultation with the Artists, appoint a studio, producer and A&R manager to the Artist and bear the costs related thereto in accordance with Section 6.1.I.
   3. 7.3 After achieving the Goal, the Artist shall cooperate with and sign all documents necessary – particularly the Title agreement and the Publishing agreement to realize or formalize the Agreements and the Assignment the exploitation, reproduction and publishing rights thereof.
   4. 7.4 The Artist will provide SellaBand with the repertoire for the CD, exclusively written and composed by the Artist. These Track(s) shall not contain cover tracks. The repertoire will be provided to SellaBand at the latest one (1) month after achieving the Goal.
   5. 7.5 The Artist shall refrain from writing and/or composing texts containing excessively racist, violent, harassing, insulting, incorrect, discriminatory, hurtful or otherwise wrongful or unlawful content. If the Artist violates his/her obligations under this Section, SellaBand is entitled to refuse the recording of the specific Track(s) and demand the delivery of one of more new Tracks within a reasonable period, or terminate the participation of the Artist in the SellaBand program, without liability of SellaBand.
8. Profile page Policy
   1. 8.1 To be able to include the biography and Demo as described in Section 5.1 on his/her profile page on the webpage www.sellaband.com, SellaBand will provide the Artist with a password. This password will be strictly personal and confidential. The Artist is solely responsible to maintain the confidentiality of the password. The Artist shall not disclose the password to third parties, nor will he/she provide third parties access to the webpage with the purpose to include or change information on the webpage.
   2. 8.2 The Artist shall include the Demo for streaming on his/her profile page according to SellaBand’s instructions.
   3. 8.3 The Artist is solely responsible for the contents of his/her profile page. The Artist shall refrain from any photographs or text containing excessive nudity, pornographic, racist, violent, harassing or otherwise wrongful or unlawful content. Besides, the Artist shall refrain from any insulting, incorrect, discriminatory, hurtful or otherwise wrongful or unlawful remarks. SellaBand is entitled to remove specific photographs or texts contrary to this Section at all times, without liability.
   4. 8.4 The Artist shall inform SellaBand immediately if he/she suspects any unauthorized use or access of the password.
   5. 8.5 The Artist is not entitled to include (paid) commercial Banners or advertisements of third parties on his/her webpage, neither before or after the Goal is achieved.
9. Protection of intellectual property
   1. 9.1 The artist agrees not to infringe the intellectual and industrial property in relation to brands, tradenames, trademarks, copyrights of Sellaband, and notably the program and the website, and not to distribute, modify, reproduce or use in another way the brands, designs and copyrights. All the brands and trademarks that are possibly protected by third parties and are mentioned on the Internet offer are unrestrictedly subject to the provisions of the labeling and property laws in force.
   2. 9.2 All rights related to the Demo, including intellectual and industrial property rights like copy- and neighbouring rights, will belong to the Artist.
   3. 9.3 Notwithstanding the rights of the Artist under Section 9.2, SellaBand is entitled to have the Demo included on the Artist’s profile page in such a way that Visitors are able to take notice of the Demo tracks through streaming. As far as needed, the Artist herewith explicitly grants SellaBand unrestricted permission to include the Demo tracks on the Artist’s profile page for the intended purposes.
   4. 9.4 All rights related to the CD tracks, including intellectual and industrial property rights like copy- and neighbouring rights and Master rights, shall exclusively be vested in SellaBand, in accordance with the terms and conditions of the Title Agreement. Besides, Recording, Reproduction and Exploitation will take place in accordance with the Title Agreement.
   5. 9.5 All publishing rights related to the CD tracks shall exclusively be vested in SellaBand, in accordance with the terms and conditions of the Publishing Agreement.
   6. 9.6 The Artist herewith grants SellaBand free and unrestricted permission to use his/her name, Artist name, portrait, biography and all other relevant personal details, in relation to the SellaBand program and the promotion of the SellaBand program. This permission will end if and as soon as the Artist withdraws from the SellaBand program before achieving the Goal. If the Goal is achieved and the CD is recorded, SellaBand will have unrestricted entitlement to use the name, Artist name, portrait, biography and all other relevant personal details of the Artist for free, for the exploitation of the CD tracks, in the widest sense, worldwide and for an indefinite period.
10. Guarantees, warranties and indemnifications
    1. 10.1 The Artist shall act in such a way that he/she will not violate the Agreements in any way.
    2. 10.2 The Artist guarantees that he/she is fully entitled to the Demo tracks and indemnifies and holds SellaBand harmless for all claims related thereto.
    3. 10.3 The Artist guarantees that he/she is fully entitled to enter into the Agreements and indemnifies and holds SellaBand harmless against all third party claims related thereto.
    4. 10.4 The Artist shall not violate Section 7.5 and 8.3 and indemnifies and holds SellaBand harmless against all third party claims related thereto.
    5. 10.5 Each party indemnifies the other party against all claims of third parties as a result of gross negligence or intent by the indemnifying party with respect to the performance of any activities under the Conditions and/or the Agreements.
    6. 10.6 SellaBand is not responsible or liable for non-accessibility of the SellaBand website (www.sellaband.com) or thereto related webpages, such as the Artist’s webpage, for whatever reason.
11. Liability
    1. 11.1 Parties are liable towards each other for damages which are the result of imputable failures to comply with the Conditions, notwithstanding their other rights, and subject to the terms of the Conditions.
    2. 11.2 Parties’ liability on account of imputable failure to comply with the Conditions shall only arise if the claiming party immediately and validly notifies the other party in writing of his/her defaults and sets that party a reasonable period of time to remedy the failure and that party, after this period, still imputably fails to comply with his/her obligations.
12. Privacy Policy
    1. 12.1 The Privacy Policy of SellaBand will be applicable. This Privacy Policy is incorporated into the Conditions by this reference thereto.
13. Termination
    1. 13.1 Until the Goal is achieved the Artist is entitled to withdraw from the SellaBand program and therefore terminate the Conditions and/or the Agreements at any moment for whatever reason, subject to Section 5.2.
    2. 13.2 SellaBand may terminate the participation of the Artist in the SellaBand program with immediate effect without notice of default or judicial intervention being required and without any further legal liability towards the Artist in the following situations, and not limited thereto: if the Artist or his/her statutory representative(s) has not filled in the Registration Form truthfully; if the Artist’s profile page contains any photographs or texts contrary to Section 8.3. Before termination SellaBand will at its sole discretion decide whether specific photographs or text can be removed to avoid termination, without liability of SellaBand; if Tracks written or composed by the Artist contain texts or compositions contrary to Section 7.5; if the Artist has been given notice of default and remains in default after having been provided with a reasonable term to fulfill his/her obligations; for urgent cause, in accordance with the relevant statutory provisions.
    3. 13.3 Termination of the participation of the Artist in the SellaBand program will leave the licensing or transfer of rights to SellaBand unaffected.
14. Force Majeure
    1. 14.1 Neither of the parties shall be liable for any delay or non-compliance with his/her obligations under the Conditions if he/she is unable to comply as a result of force majeure.
    2. 14.2 Parties will inform each other immediately in writing in case of force majeure which effects the SellaBand program or the Artist’s participation therein. If the situation of force majeure has lasted for more than 30 (thirty) days, parties shall consult whether the force majeure is expected to be terminated within a reasonable period. If there is no such expectation, parties are entitled to terminate the Conditions and/or the Agreements in accordance with the applicable legislation and regulations, without liability.
15. Applicable law and jurisdiction
    1. 15.1 When the artist is an entrepreneur, the provisions of these general terms and conditions are subject to material German law excluding UN purchasing law. When the artist is a consumer, agreements including these general terms and conditions are subject to German law as far as this does not conflict with binding legal provisions, and notably provisions of the law on consumers’ protection.
    2. 15.2 When the artist is a merchant in the sense of the Commercial Code, a legal person of public right, or a Federal Special Fund, Sellaband’s head office shall be the exclusive place of jurisdiction for all claims arising from the use of the website. The same applies to persons who do not have a general place of jurisdiction in Germany or persons who, after conclusion of the agreement, have moved their habitual residence or abode to outside of Germany or whose habitual residence or abode is not known when legal proceedings are instituted.
16. Additional terms
    1. 16.1 Should individual provisions of these conditions of use be or become void or ineffective and/or conflict with legal provisions, then this will not affect the validity of any other conditions of use. The ineffective provisions shall be replaced by the parties to this agreement by provisions that best meet the economic purpose of the ineffective provisions in a legally effective way. This shall correspondingly apply to any missing provisions.

SellaBand betreibt die Webseite www.SellaBand.com, die es Künstlern ermöglicht, auf dem Portal ihre Musik zu veröffentlichen und Usern der Website die Möglichkeit bietet, diese Musik und die Künstler kennenzulernen.

Wenn auf die Musik des Künstlers 5000 Anteile erworben wurden und damit eine Summe von 50.000 USD zur Verfügung steht (ZIEL), wird SellaBand das so geschaffene Budget dazu verwenden, mit dem Künstler Songs (CD) zu produzieren bzw. produzieren zu lassen.

Der Künstler wird an den Einnahmen aus dem Verkauf der CD’s sowie der Downloads seiner Songs auf dem Downloadportal der SellaBand Website beteiligt sein.

Das SellaBand-Programm ist ein weltweites Online-Programm, an dem Künstler und Believer aller Nationen teilhaben können. SellaBand ist jedoch verpflichtet, hierzu den nachstehenden Vertrag zu schließen, den Sie vorher lesen und akzeptieren müssen, um dann das Registrierungsformular auszufüllen.

1. Definitionen

   Vereinbarung & Registrierung:	der Moment, in dem der Künstler seine Annahme der Vereinbarungen angezeigt und er sich formell für das SellaBand Programm durch Ausfüllen des Registrierungsformulars angemeldet hat.
   Vereinbarungen:	die Allgemeinen Nutzungsbedingungen, die Datenschutzerklärung, diese Allgemeinen Geschäftsbedingungen, die Titel-Vereinbarung und die Verlagsvereinbarung.
   Datenschutzerklärung:	die Erklärung zum Schutz der privaten Daten der User, die für diese Bedingungen nach 14.1 gilt.
   Künstler:	Künstler sind Personen (männlichen und weiblichen Geschlechts) (Komponisten und Texter), ungeachtet dessen, ob es sich um Gruppe von Künstlern handelt, deren Musikstücke (Tracks) aufgenommen werden sollen.
   SellaBand:	SellaBand AG, Firma nach Deutschem Recht.
   Besucher:	jeder Nutzer, der SellaBand Website mit der Internet-Adresse www.SellaBand.com oder dazu gehöriger Webseiten eingeschlossen der Webseiten des Künstlers und des Downloadportals.
   Mitglied:	Ein registrierter Nutzer.
   Believer:	derjenige registrierte Nutzer, der an einen Künstler und dessen Erfolg glaubt und hierfür einen finanziellen Einsatz von mind. 10 USD erbringt und der die Believer Bedingungen akzeptiert hat.
   Anteil oder Part:	die Abgabe der Erklärung eines Users, an den Erfolg eines Künstlers zu glauben und die Überweisung des Betrages von 10 USD, um die Limited Edition der CD des Künstlers zu erhalten, der das Ziel („Goal“) erreicht.
   Ziel oder Goal:	Der Moment, in dem die Believer 5000 Anteile für den Künstler erworben haben und das Budget von USD 50.000 erreicht ist.
   Titel:	ein aufgezeichnetes oder zur Aufzeichnung geeignetes musikalisches Werk des Künstlers, das von SellaBand zum Zwecke, eine oder mehrere Aufnahmen entsprechend dieser Vereinbarung zu produzieren; ausgewählt wird.
   Track:	ein Stück des Masters, der eine Aufnahme einer musikalischen Darbietung enthält, ungeachtet dessen ob es sich um eine Probeaufnahme, eine unvollendete oder von SellaBand zurückgewiesene Aufnahme handelt, wie in Absatz 2.2 de Künstlertitelvereinbarung beschrieben.
   Demotracks:	die Tracks, die auf dem Demo aufgezeichnet.
   Master:	analoger oder digitaler Abbildungs- und/oder Schall- und/oder Informationsträger, der aus einem oder mehren Tracks besteht, deren Titel und Künstler in der Titel-Vereinbarung spezifiziert sind und auf welchem das Original/die Originale der Musikaufnahmen aufgezeichnet sind;
   CD:	die vom Künstler nach der Titel-Vereinbarung aufzuzeichnende Aufnahme.
   CD Aufnahmen:	Ein Minimum von 1 (einem) auf der CD aufzuzeichnenden Track.
   Aufnahme:	jede Fixierung von Schall und/oder Abbildung und/oder Information oder jeder Kombination von diesen, zum Zwecke der Verfielfältigung.
   Vervielfältigung:	eine Kopie einer oder mehrerer Aufnahmen oder Teilen davon, die das Master beinhaltet, zum Zwecke der Auswertung in der Form von Grammophonaufzeichnungen, Musikkassetten, Compact Discs und ähnlichen optischer Laser- Massenspeicher, Minischeiben und anderen MO Discs, DCC, CD i, CD-ROM, CD-Video, DVD, VHS, HD Dvd, Blu-Ray, UMD und einem anderen Schall- und/oder Bild und/oder Informationsträger, aber weder beschränkt auf das Internet und/oder andere Online-Verteilungsmethoden und mobile Nachrichtenübermittlung wie UMTS und noch unbekannte Aufnahme- und Verfielfältigungsmethoden einschließend.

   Downloadportal:	die SellaBand Webseite, auf der Künstler aufgelistet werden, die die CD aufgezeichnet haben und deren Musiktitel auf dieser Webseite herunterladen werden können...
   Gratis Download:	Ein Minimum von 3 (drei) Aufnahmen des Künstlers, die auf der SellaBand Website von Besuchern kostenfrei heruntergeladen werden kann.
   Nettoeinnahmen:	alle aktuellen Einnahmen von SellaBand aus der Auswertung der Musikstücke und damit zusammenhängenden Verträgen mit Werbeträgern reduziert um alle diesbezüglichen Kosten und Steuern.
   Künstler Übersicht:	persönliche Seite des Künstlers, diese Seite ist nur dem Künstler mit seinem Benutzernamen und Passwort zugänglich. Auf dieser Seite kann der Künstlers seine Angaben ändern, Bilder, Tracks und Videos hochladen.
   Künstler Profil:	Die Seite des Künstlers, auf die von anderen Nutzern zugegriffen werden kann.
   Künstler Saldo:	Übersicht der Einnahmen des Künstlers auf SellaBand.

2. Vertragsgegenstand

   Vertragsgegenstand dieser Vereinbarung ist die Nutzung des Künstlerforums der Website www.SellaBand.com durch den Künstler dergestalt, dass er sein Musikstück / seine Musikstücke und Informationen über sich / die Band auf die Website einstellt und die User der Website dazu veranlasst, für die Musik zu bieten, um nach Erreichen des notwendigen Budgets von USD 50.000,-- eine CD zu produzieren und an den Einnahmen zu partizipieren.Um das Konzept umzusetzen zu können, werden die Parteien nach Erreichen des Ziels die Titel – Vereinbarung und die Verlagsvereinbarung abschließen Weil die Durchführung des Konzepts anderenfalls gefährdet ist, erklärt sich der Künstler – will er am SellaBand-Programm teilnehmen- bereits jetzt bereit, für den Fall, dass er das Ziel erreicht, Vereinbarungen diesen Inhalts abzuschließen.

   Rechte und Pflichten der Parteien ergeben sich aus dieser Vereinbarung in Verbindung mit den Allgemeinen Nutzungsbedingungen und der Datenschutzerklärung.

3. Geltung
   1. 3.1 Diese Allgemeinen Geschäftsbedingungen sollen für alle Aktionen des Künstlers gelten, der am SellaBand Programm teilnimmt. Wird der Künstler seine Teilnahme am SellaBand Programm beenden, lässt dies die erteilten Lizenzen und übertragenen Rechte unberührt. Außerdem bleiben Bedingungen, die ihrem Regelungsgehalt nach auch nach Beendigung der Beteiligung des Künstlers gelten sollen, auch wirksam, wenn der Vertrag beendet wurde. Die Bedingungen sollen für die weiteren Vereinbarungen mit dem Künstler ergänzend gelten.
   2. 3.2 Änderungen dieser Nutzungsbedingungen werden auf der Website mit gesondertem Hinweis angezeigt und registrierten Künstlern von SellaBand schriftlich per E-mail mitgeteilt. Widerspricht der Künstler solchen Änderungen nicht innerhalb von zwei Wochen nach Zugang der Mitteilung, gelten die Änderungen als vereinbart. Auf das Widerspruchsrecht und die Rechtsfolgen des Schweigens wird der Künstler im Falle der Änderung der AGB gesondert hingewiesen.
   3. 3.3 Anderslautende oder entgegenstehende Allgemeine Geschäftsbedingungen des Künstlers sollen nicht anwendbar sein und werden hiermit ausdrücklich zurückgewiesen.
   4. 3.4 Gehört der Künstler einer Band an, so soll jedes Bandmitglied seine/ihre Annahme der Vereinbarungen erklären. Die Bandmitglieder sollen einen Ansprechpartner auf dem Registrierungsformular und die Namen aller Mitglieder der Gruppe benennen.
4. Persönliche Anforderungen an den Künstler
   1. 4.1 Der Künstler hat mindestens das 18. Lebensjahr vollendet, um am SellaBand Programm teilzunehmen. SellaBand ist nach seiner alleinigen Entscheidung berechtigt, weitergehende Informationen und Dokumente zu verlangen. Der Künstler wird SellaBand mit diesen Informationen ausstatten, sobald er eine derartige Anfrage erhalten hat.
   2. 4.2 Der Künstler erklärt und garantiert, dass seine Beteiligung am SellaBand Programm nicht gegen gesetzliche Regelungen und andere anwendbare Regelungen verstößt und stellt SellaBand insoweit von Forderungen oder Schadenersatzansprüchen frei.
   3. 4.3 Der Künstler ist verpflichtet, das Registrierungsformular wahrheitsgemäß und vollständig auszufüllen und weiterleiten. SellaBand ist berechtigt, aber nicht verpflichtet, die Information im Registrierungsformular zu überprüfen.
   4. 4.4 SellaBand ist nicht verantwortlich oder haftbar für eine falsche, unvollständige oder gesetzwidrige Information, die der Künstler in Bezug auf sein Alter und andere persönliche Details und Information im Registrierungsformular angegeben hat.
5. Rechte des Künstlers bis zum Erreichen des Ziels („GOAL“)

   Nach Abschluss der Vereinbarungen und der Registrierung und vor Erreichen des Ziels, hat der Künstler die folgenden Rechte:

   1. 5.1 Der Künstler wird seine eigene Profilseite, deren Format von SellaBand vorgegeben ist, erstellen. Auf dieser Profilseite stellt der Künstler seine Biographie, Photographien, Texte, Logos und andere Information und Details ein, mit der Absicht, sich bekannt zu machen. Der Künstler ist nicht berechtigt, handelsübliche Banner oder Anzeigen von Dritten auf seiner/ihrer Profilseite einzustellen. Außerdem lädt der Künstler das Demo für das Streaming auf seiner/ihrer Webseite entsprechend SellaBands Anweisungen hoch. Die Einrichtung der Profilseite soll entsprechend der Vorgaben von SellaBand, wie in Abschnitt 8 definiert, stattfinden.
   2. 5.2 Der Künstler ist berechtigt, sich jederzeit aus dem SellaBand Programm zurückzuziehen. Wenn der Künstler sich zurückziehen will, informiert er SellaBand sofort schriftlich via E-Mail an info@SellaBand.com.
   3. 5.3 Der Künstler hat Entscheidungsfreiheit und ist berechtigt, Vereinbarungen mit Gesellschaften, Manager, Agenten oder Verlagsgesellschaften entsprechend den Vereinbarungen abzuschließen.
6. Recht des Künstlers nach Erreichen des Ziels
   1. 6.1 Wenn das Ziel erreicht wird, finanziert SellaBand die nachfolgend beschriebenen Aktivitäten aus dem Budget von $ 50.000: I Mittel um eine CD zu erstellen, inklusive der Hilfestellung eines A&R Managers, Produzenten, Aufnahmestudios, Mixing und Mastering. II 5.000 Kopien einer limitierten Auflage der CD. III Versand der limitierten Auflage der CD zu den Believern des Künstlers. SellaBand, finanziert die Aufnahme-, Produktions- und Vertriebskosten der Kopien der Limited Edition der CD, wenn sie die Gesamtsumme von USD 50.000 nicht übersteigen
   2. 6.2 Der Künstler schreibt und komponiert alle Tracks und hat abhängig von den Bedingungen des Abschnitts 7.5 volle künstlerische Freiheit bezüglich Text und Komposition. Außerdem ist der Künstler berechtigt, zu entscheiden, welche Titel entsprechend den Bedingungen der Titelvereinbarung für die CD aufgezeichnet werden.
   3. 6.3 Der Künstler hat Entscheidungsfreiheit und ist berechtigt, Vereinbarungen mit Gesellschaften, Manager, Agenten oder Verlagsgesellschaften entsprechend der getroffenen Vereinbarungen abzuschließen.
   4. 6.4 Die Believer des Künstlers erhalten eine der limitierten Editionen der CD für jeden Anteil den sie an dem Künstler erworben haben.
   5. 6.5 Ein Minimum von 3 (drei) Tracks des Künstlers wird zum Gratis Download auf der SellaBand Webseite bereitgestellt. Diese Tracks werden solange dort verfügbar sein, wie der Künstler auf der SellaBand Webseite gelistet ist.
   6. 6.6 Der Künstler ist berechtigt, Kopien der regulären Auflage der CD von SellaBand zu einem festen Sonderpreis, zu kaufen. Dieser Preis beträgt zur Zeit USD 5,00. (ohne MWSt und Versand). SellaBand kann diesen Preis einseitig ändern.
   7. 6.7 Die Netto-Einnahmen aus dem Verkauf der Musik werden zu gleichen Teilen zwischen Künstlern, den beteiligten Believern und Sellaband aufgeteilt. Der Künstler ist an allen Nettoeinnahmen aus Musik Verkäufen zu 1/3 (einem Drittel) beteiligt. Dies enthält sowohl Downloads, physische Produkte als auch Lizenzeinnahmen, die SellaBand durch den Einsatz der Tracks – bespielsweise, aber nicht begrenzt auf – in Filmen und Werbungsendungen einnimmt. Dies gilt für Verkäufe durch die Webseite www.sellaband.com und Dritte.
   8. 6.8 Die Netto-Einnahmen aus Werbung auf der Sellaband Webseite werden zu gleichen Teilen zwischen den Künstlern, den beteiligten Believern und Sellaband aufgeteilt. Der Anteil des Künstlers aus diesen Netto-Einnahmen wird aus dem Anteil des Künstlers an den Downloads der Webseite ermittelt.
   9. 6.9 Zu zahlende Vergütungen auf der Basis dieses Abschnitts werden jeweils zum Ende eines Kalendarquartals abgerechnet. Eine Übersicht über diese Einnahmen steht dem Künstler auf seiner Übersichtsseite zur Verfügung.
   10. 6.10 Nachdem SellaBand die CD veröffentlicht hat kann der Künstler zu jedem Zeitpunkt, wenn sein Guthaben (Einnahmen aus Werbung auf der Website www.sellaband.com und Musikverkäufe) mehr als einen (1) USD beträgt, Geld von seinem Guthaben auf sein Bankkonto oder seine Kreditkarte übertragen lassen. Der Künstler kann dazu den “Payout” Button auf seiner Seite verwenden. Für jede Übertragung fällt eine Gebühr (Administrative Kosten) von USD 1 an. Das Geld wird innerhalb von 4 Wochen übertragen.
   11. 6.11 Die Parteien sind sich einig, dass alle Zahlungen in USD erfolgen sollen.
   12. 6.12 Steuern, Zinsen und/oder IRS Strafen. Es ist hier mit vom Künstler anerkannt, dass der Künstler vollständig und in vollem Umfang für alle Arten von Steuern, Zinsen und Strafen verantwortlich ist, die aus jeglichen Einnahmen des Künstlers von SellaBand entstehen. Zusätzlich zu der generellen Freistellung, die der Künstler SellaBand an anderer Stelle eingeräumt hat, stellt der Künstler Sellaband, deren Direktoren, Anteilseigner, Rechts-Vorläufer und Nachfolger, Angestellte, Vertreter, Unterorganisationen und Partner frei von jeglichen Ansprüchen, die sich aus der Hinterziehung von Steuern, Verlusten, Schadensersatzansprüchen oder diesbezüglichen Auslagen (einschliesslich Rechtanwaltshonoraren) ergeben, wenn sie gegen SellaBand von einer dritten Partei durch oder aus der Verbindung des Künstlers mit dem Gebrauch des SellaBand Dienstes ergeben.
7. Pflichten des Künstlers nach Erreichen des Ziels
   1. 7.1 Nach dem Erreichen des Ziels ist der Künstler nicht mehr berechtigt, sich aus dem SellaBand Programm und den daraus resultierenden Verpflichtungen zurückzuziehen, eingeschlossen der Verpflichtung zur Aufnahme von Musiktiteln unter Abschnitt 7,4, es sei denn, der Künstler ist in Folge von Höherer Gewalt nicht in der Lage, seinen Verpflichtungen nachzukommen. Nur SellaBand ist berechtigt, darüber zu entscheiden, ob der Künstler von seinen Verpflichtungen frei wird oder ob, die Aufnahmesession ohne Haftung für SellaBand verschoben werden kann.
   2. 7.2 Innerhalb von 6 Monaten nach Erreichen des Ziels, soll der Künstler die CD ausschließlich mit SellaBand aufnehmen. SellaBand soll nach Beratung mit dem Künstler ein Studio, einen Produzenten und A & R Manager benennen und die dafür aufzuwendenden Kosten übernehmen, wie in Ziffer 6.2. im Einzelnen geregelt
   3. 7.3 Der Künstler verpflichtet sich bereits jetzt, nach dem Erreichen des Ziels alle Dokumente – insbesondere die Titelvereinbarung und die Verlagsvereinbarung - zu unterschreiben, die notwendig sind, um die Vereinbarungen und die Übertragung der Vervielfältigungs-, Auswertungs- und Musikverlagsrechte zu realisieren.
   4. 7.4 Um in der Lage zu sein, die Musikstücke auf der CD innerhalb der Aufnahmeperiode von 6 Monaten aufzeichnen zu lassen, sollen sie vom Künstler innerhalb von einem Monat nach Erreichen des Ziels komponiert und getextet werden.
   5. 7.5 Der Künstler soll es unterlassen, Texte zu schreiben und/oder Musikstücke zu komponieren, die rassistische, gewalttätige, falsche, diskriminierende, schädliche oder sonst rechtswidrige und / oder belästigende, beleidigende Inhalte enthalten. Wenn der Künstler seine Verpflichtungen unter diesem Abschnitt verletzt, ist SellaBand berechtigt, die Aufnahme des/der jeweiligen Musiktitel(s) abzulehnen und die Lieferung eines oder mehrerer neuer Musiktitel innerhalb einer angemessenen Frist zu fordern oder den Künstlers von dem SellaBand Programm ohne Haftung von SellaBand auszuschließen.
8. Profilseiten - Erklärung
   1. 8.1 Um den Künstler in der Lage zu versetzen, die Biographie und das Demo auf der für den Künstler eingerichteten Profilseite auf der Website www.SellaBand.com. einzubinden, wie in Abschnitt 5,1 beschrieben, liefert SellaBand dem Künstler ein Kennwort. Dieses Kennwort ist persönlich und streng vertraulich. Der Künstler ist allein verantwortlich, die Vertraulichkeit des Kennworts zu gewährleisten. Der Künstler wird keinem Dritten das Kennwort offenbaren oder einem Dritten Zugang zur Webseite gewähren, mit der Absicht, Information einzustellen oder zu ändern.
   2. 8.2 Der Künstler soll die Demo für den Titel auf seiner Webseite entsprechend SellaBands Anweisungen einbinden. Der Künstler ist allein für den Inhalt auf seiner Webseite verantwortlich. Der Künstler ist verpflichtet, die Veröffentlichung von Photographien oder Texten zu unterlassen, die Obszönitäten enthalten, pornographisch, rassistisch, gewalttätig, belästigend oder sonst rechtswidrigen Inhalts sind. Außerdem soll der Künstler beleidigende, falsche, diskriminierende, schädliche oder sonst gesetzeswidrige Bemerkungen unterlassen. SellaBand ist berechtigt, Photographien oder Texte, die dieser Regelung widersprechen, jederzeit ohne Haftung zu entfernen, Der Künstler soll SellaBand sofort informieren, wenn er/sie irgendeine unbefugte Verwendung oder irgendeinen unbefugten Zugang des Kennworts vermutet.
   3. 8.5 Der Künstler ist nicht berechtigt, (bezahlte) handelsübliche Banner oder Anzeigen von Dritten auf seiner Webseite einzustellen - weder vor dem Erreichen des Ziels noch danach.
9. Schutz des geistigen Eigentums
   1. 9.1 Der Künstler verpflichtet sich, das geistige und gewerbliche Eigentum in Bezug auf die Marken, Markennamen, Markenzeichen, jedwede Urheberrechte ( insb. das Konzept, die Website, das Programm) von SellaBand nicht zu verletzen und wird Marken, Designs und urheberrechtlich geschützte Werke nicht versenden, anderweitig verbreiten, modifizieren, reproduzieren oder in anderer Weise nutzen oder verwerten. Alle innerhalb des Internetangebotes genannten und ggf. durch Dritte geschützten Marken- und Warenzeichen unterliegen uneingeschränkt den Bestimmungen des jeweils gültigen Kennzeichenrechts und den Besitzrechten der jeweiligen eingetragenen Eigentümer.
   2. 9.2 Alle Rechte an dem Demo, eingeschlossen des geistigen Eigentums und der gewerblichen Schutzrechte, alle Vervielfältigungsrechte und ähnlichen Rechte gehören dem Künstler.
   3. 9.3 Ungeachtet der Rechte des Künstlers unter Abschnitt 9.2 ist SellaBand, bevor das Ziel erreicht ist, berechtigt, das Demo auf der Webseite des Künstlers in einer Weise einbinden zu lassen, dass Besucher in der Lage sind, das Demo abspielen zu können. Soweit erforderlich gewährt der Künstler hiermit SellaBand die unbeschränkte Erlaubnis, das Demo auf der Webseite des Künstlers für den beabsichtigten Zweck einzustellen.
   4. 9.4 Alle Rechte, einschließlich geistiger Eigentums- und gewerblicher Schutzrechte, sowie Vervielfältigungsrechte und Masterrechte, mit den CD-Aufnahmen verbundenen Rechte sollen an SellaBand entsprechend den Regelungen der Titelvereinbarung übertragen werden. Im Übrigen finden für die Aufnahme, Vervielfältigung und Nutzung die Regelungen der Titelvereinbarung Anwendung.
   5. 9.5 Alle mit den CD-Aufnahmen verbundenen Verlagsrechte sollen SellaBand entsprechend der Verlagsvereinbarung ausschließlich verliehen werden.
   6. 9.6 Der Künstler gewährt hiermit SellaBand die kostenlose und unbeschränkte Lizenz, seinen/ihren Namen, Künstlernamen, sein Portrait, seine Biographie und alle anderen relevanten persönlichen Details für das SellaBand Programm und die Förderung des SellaBand Programms zu verwenden. Diese Erlaubnis endet, wenn und sobald sich der Künstler aus dem SellaBand Programm vor dem Erreichen des Ziels zurückzieht. Wenn das Ziel erreicht ist und die CD aufgezeichnet ist, wird SellaBand unbeschränkt berechtigt sein, den Namen, Künstlernamen, Portrait, Biographie und alle anderen relevanten persönlichen Details vom Künstler kostenlos für die Auswertung der Musiktitel der CD im weitesten Sinne, weltweit und zeitlich unbeschränkt zu nutzen.
10. Garantien, Zusicherungen und Entschädigungen
    1. 10.1 Der Künstler soll die getroffenen Vereinbarungen nicht verletzen.
    2. 10.2 Der Künstler garantiert, dass er Rechte Dritter bezüglich des Texts und der Kompositionen für das Demo und die CD nicht verletzt hat und stellt SellaBand von allen diesbezüglichen Ansprüchen Dritter frei.
    3. 10.3 Der Künstler garantiert, dass er berechtigt ist, die Vereinbarungen abzuschließen und stellt SellaBand von allen diesbezüglichen Ansprüchen Dritter frei.
    4. 10.4 Der Künstler wird die Regelung in Ziffer 7.5 und 8.3 nicht verletzen und stellt SellaBand von allen diesbezüglichen Ansprüchen Dritter frei.
    5. 10.5 Jede Partei wird die jeweils andere Partei von allen Ansprüchen Dritter freistellen, soweit die Ansprüche darauf beruhen, dass die verpflichtete Partei vorsätzlich oder grob fahrlässig gegen die Bedingungen und/oder die Vereinbarungen verstoßen hat
    6. 10.7 SellaBand ist nicht verantwortlich oder haftbar für die Nicht-Erreichbarkeit der SellaBand Website (www.SellaBand.com) oder dazu verwandter Webseiten sowie die Webseite des Künstlers.
11. Haftung
    1. 11.1 Die Parteien sind einander für Schäden eintrittspflichtig, die auf bewussten Verstößen gegen die Regelungen dieser Vereinbarung beruhen.
    2. 11.2 Vorraussetzung für die Haftung der Parteien aus Vertragsverletzung ist, dass der Anspruchsteller den Schuldner sofort und schriftlich unter genauer Bezeichnung des Vertragsverstoßes abmahnt und eine Frist setzt, innerhalb derer er den Vertragsverstoß zu beseitigen hat.
12. Datenschutzvereinbarung
    1. 12.1 Die Datenschutzvereinbarung von SellaBand ist anwendbar. Sie ist Bestandteil dieser Vereinbarung.
13. Beendigung
    1. 13.1 Bis zum Erreichen des Ziels ist der Künstler berechtigt, jederzeit die Bedingungen und/oder die Vereinbarungen ohne Nennung von Gründen zu widerrufen; im Übrigen gilt Ziffer 5.2.
    2. 13.2 SellaBand ist berechtigt, diesen Vertrag ohne Einhaltung einer Kündigungsfrist und ohne Abmahnung zu beenden, falls sich herausstellt, dass der Künstler oder sein/ihr gesetzlicher Vertreter (s) das Registrierungsformular nicht der Wahrheit entsprechend ausgefüllt hat; wenn die Webseite des Künstlers Photographien oder Texte enthält, die Abschnitt 8.3 widersprechen. Vor Beendigung entscheidet SellaBand, ob bestimmte Photographien oder der jeweilige Text entfernt werden können, um eine Beendigung zu vermeiden; wenn vom Künstler geschriebene oder komponierte Titel Texte oder Kompositionen enthalten, die Abschnitt 7.6 widersprechen; wenn der Künstler abgemahnt wurde und trotz Abmahnung mit der Erfüllung seiner Verpflichtung in Verzug ist; aus sonstigem wichtigen Grund entsprechend der gesetzlichen Bestimmungen.
    3. 13.3 Die Beendigung der Beteiligung des Künstlers am SellaBand Programm lässt die Lizensierung und Übertragung von Rechten an SellaBand unberührt.
14. Höhere Gewalt
    1. 14.1 Keine der Parteien ist verantwortlich oder haftbar für Verzögerungen oder die Nichterfüllung ihrer Verpflichtungen, sofern die Verzögerung oder Nichterfüllung auf Höherer Gewalt beruht.
    2. 14.2 Die Parteien verpflichten sich, sich wechselseitig unverzüglich schriftlich über einen Fall Höherer Gewalt zu informieren, der das SellaBand Programm oder die Beteiligung des Künstlers betrifft. Wenn der Fall der Höheren Gewalt mehr als 30 Tage andauert, werden die Parteien beraten, ob zu erwarten ist, dass diese in absehbarer Zeit beendet sein wird. Besteht es eine solche Erwartung nicht, sind die Parteien berechtigt, die Bedingungen und/oder die Vereinbarungen entsprechend den gesetzlichen Bestimmungen ohne Haftung zu kündigen.
15. Anwendbares Recht und Gerichtsstand
    1. 15.1 Diese Vereinbarungen unterliegen dem materiellen deutschen Recht unter Ausschluss des UN-Kaufrechts. Soweit der Künstler Verbraucher ist, unterliegen Vereinbarungen einschließlich dieser AGB dem deutschen Recht, soweit dem keine zwingenden gesetzlichen Vorschriften, insbesondere Verbraucherschutzvorschriften, entgegenstehen.
    2. 15.2 Soweit der Künstler Kaufmann im Sinne des Handelsgesetzbuches ist, wird als ausschließlicher Gerichtsstand der Geschäftssitz der SellaBand für alle Ansprüche aus oder im Zusammenhang mit diesem Vertrag vereinbart. Gleiches gilt gegenüber Personen, die keinen allgemeinen Gerichtsstand in Deutschland haben oder Personen, die nach Abschluss des Vertrages ihren Wohnsitz oder gewöhnlichen Aufenthaltsort außerhalb von Deutschland verlegt haben oder deren Wohnsitz oder gewöhnlicher Aufenthaltsort im Zeitpunkt der Klageerhebung nicht bekannt ist.
16. Sonstige Vereinbarung
    1. 16.1 Die Vereinbarungen enthalten alle zwischen den Parteien getroffenen Absprachen. Änderungen oder Ergänzungen dieser Vereinbarung sind nur gültig, wenn sie schriftlich erfolgt sind. Sofern einzelne Bestimmungen unwirksam sind oder werden, so wird hierdurch die Wirksamkeit der Bestimmungen im Übrigen nicht berührt. Die unwirksame Bestimmung wird von den Vertragsparteien einvernehmlich durch eine solche Bestimmung ersetzt, welche dem wirtschaftlichen Zweck der unwirksamen Bestimmung in rechtswirksamer Weise am nächsten kommt.
